NOTES:
Southwest Gas Holdings entered into a definitive agreement in which its subsidiary, Centuri Construction Group, will acquire Linetec Services. Centuri will acquire an 80% interest in Linetec for $299 million in cash and will contain the option to acquire the remaining 20% ownership interest in Linetec in increments during the next five years. The overall initial transaction cost is roughly $336 million and the transaction is expected to close by year-end 2018.
