    International Petroleum ("IP") and BlackPearl have entered into an agreement in which IP will acquire all shares of BlackPearl at an exchange ratio of 0.22 shares of IP for each BlackPearl share. Based on the volume average weighted price of the IP shares for the last 30 days, the acquisition price is CAD 1.85 per BlackPearl share. The acquisition remains subject to shareholder approvals of both IP and BlackPearl, with completion expected in December 2018.
