The Company issued an aggregate of 7.0 million shares to Gulfport Energy, Rhino Exploration LLC and subsidiaries of Wexford Capital, the pro-rate owners of the acquired businesses.

    NOTES:
    The assets being acquired include a wet and dry plant in New Auburn, Wisconsin and a sand mine with 30 million tons of reserves of Northern White Jordan Substrate frac sand. The dry plant has a nameplate capacity of 1.8 Mtpa and an expected operational capacity of 1.5 Mtpa. The plant is located on the Union Pacific railroad and can ship sand to the Mid-Continent, the Eagle Ford Shale, Permian Basin and the DJ Basin.
