MINNEAPOLIS, Aug. 13, 2020 /PRNewswire/ -- In celebration of the American Wind Energy Association's American Wind Week, Geronimo Energy (Geronimo), a National Grid company, announced today that it has established a local charitable giving board, named the Crocker Community Fund Board (the Fund), for the benefit of the communities connected to the Crocker Wind Farm (Crocker). Crocker is a 200 megawatt (MW) operational wind energy project located in Clark County, SD. Crocker has executed Virtual Power Purchase Agreements (VPPA) with Walmart and Cargill, utilizes GE turbines, and was constructed by Wanzek Construction.
Crocker began operations in late 2019 and brings economic benefits to the local and state economies. At the peak of construction, Crocker had over 200 construction workers onsite and has since employed 10 full-time employees at its Operations and Maintenance building. Additionally, the project is estimated to produce $18 million in new tax revenue and $24 million in landowner payments during the first 20 years of operations.
Unique to Geronimo, its large-scale operating wind farms further benefit from a charitable fund called Community Funds. The contributions from Community Funds are above and beyond any tax revenue or other economic impacts from Geronimo's projects and are meant as charitable donations to the local project host communities. To date, Geronimo has initiated thirteen wind farm Community Funds across the nation, resulting in a total commitment of over $9.6 million in charitable donations over the first 20 operational years of these projects.
In Clark County, the Crocker Community Fund will receive an estimated $40,000 per year for a period of 20 years, totaling approximately $800,000 in local charitable funding. The Fund board has been elected and is composed of local landowners in the project footprint, as well as Clark County residents. The Fund donations will be funded by Geronimo and dispersed by the newly elected board to support charitable causes within and near Crocker.

MINNEAPOLIS, July 21, 2020 /PRNewswire/ -- Geronimo Energy (Geronimo), alongside power purchasers and community members, celebrated today the economic and social benefits from the operational 194 megawatt (MW) Green River Wind Farm (Green River). Green River, located in Lee and Whiteside Counties in Illinois within the PJM Regional Transmission Operator (RTO) system, began major onsite construction activities in June 2018 and entered operations at the end of 2019.
Green River has Virtual Power Purchase Agreements (VPPA) with Apple, Akamai Technologies, and Swiss Re, as well as a Power Purchase Agreement (PPA) with Illinois Municipal Electric Agency (IMEA). Akamai, Etsy and Swiss Re previously had limited opportunity to access large renewable energy projects in the regions covered by the thirteen state PJM wholesale electric market. By collaborating with Apple, these companies were able to access wind and solar power from the new projects at competitive prices and agreement terms. Collaborations like this accelerate the pace at which new renewable energy generation is built and brought online.
3Degrees facilitated the renewable energy aggregation with the corporate power purchasers. The project was built by Mortenson and utilizes Siemens Gamesa wind turbines. It was developed and is operated by Geronimo Energy.
The project employed approximately 200 construction workers at its peak and boosted local economies with increased local spending as a direct result of this influx of temporary workers. As an operating project, Green River has begun to provide positive long-term economic impacts to the local and state communities. The project has created 11 new full-time jobs at its Operations & Maintenance building located in Deer Grove, Illinois. Additionally, throughout the first 20 years of operations, Geronimo estimates the project will provide $35 million in new tax revenue and $20 million in landowner payments.

MINNEAPOLIS, June 11, 2020 /PRNewswire/ -- Geronimo Energy (Geronimo), a National Grid company, announced today the start of construction activities for two Michigan solar projects for which Consumers Energy (Consumers) previously executed Power Purchase Agreements (PPA). The projects, Bingham Solar (Bingham) and Temperance Solar (Temperance), are part of a solar portfolio called MiSolar Portfolio and are located in Clinton and Monroe counties, respectively. Both projects are expected to begin operations by the end of this year. Geronimo has contracted with Michigan-based Engineering, Construction, and Procurement (EPC) contractor, J. Ranck Electric, Inc. (JRE), to construct the projects.

Combined, the projects will produce 40 megawatts (MW) alternating current of clean, solar energy and will power an estimated 8,000 Michigan homes. Together with its affiliated entities, Geronimo Energy will own and operate both solar projects, and Consumers Energy will purchase the energy they produce. Using the United States' Environmental Protection Agency's (EPA) greenhouse gas equivalencies calculator, the combined projects are estimated to offset carbon dioxide emissions by 50,000 metric tons annually.

Unbridled Solar is a 160 megawatt (MW) clean solar energy project located in the Midcontinent Independent System Operator (MISO) market.

MINNEAPOLIS, April 22, 2020 /PRNewswire/ -- Geronimo Energy (Geronimo), a National Grid company, and Cargill announced today the execution of a Virtual Power Purchase Agreement (VPPA) for the Prairie Wolf Solar Project (Prairie Wolf) in Coles County, Illinois. The contract marks the second renewable energy VPPA executed between Cargill and Geronimo, the first being for a portion of the Crocker Wind Farm in Clark County, South Dakota.
Prairie Wolf is a 200 megawatt (MW) clean solar energy project located in the Midcontinent Independent System Operator (MISO) market. The project is anticipated to begin operations at the end of 2021. Once operational, Prairie Wolf is poised to represent the largest single solar investment in the State of Illinois, as well as one of the largest solar developments east of the Mississippi and one of the largest single project VPPAs in the country. Using the United States' Environmental Protection Agency's (EPA) greenhouse gas equivalencies calculator, the project is estimated to offset carbon dioxide emissions by 285,000 metric tons annually.

Crocker has Virtual Power Purchase Agreements (VPPAs) in place with leading corporations, Walmart and Cargill. The project was built by Wanzek Construction and utilizes GE 2.7-116 wind turbines.

In National Grid service territory, the legal basis for the 80x50 targets includes the Massachusetts Global Warming Solutions Act (GWSA) (2008), New York Executive Order No. 24 (2009), and the Resilient Rhode Island Act (2014).

NEW YORK, April 10, 2018 /PRNewswire/ -- Oracle Industry Connect -- Oracle Utilities today announced that its Opower Energy Efficiency programs have generated a total of $2 billion in utility bill savings for customers over the past decade, along with making great strides in customer engagement.
Launched in 2008, Opower Energy Efficiency programs have been implemented at more than 100 electric and gas utilities around the globe, motivating customers to save more than 17 TWh of energy through multi-channel, personalized communications. These energy savings could cool 8.5 million homes, light over 17 million homes or power 1.2 million homes for a year.
This milestone is a shared accomplishment among many utilities, some of whom have run Opower Energy Efficiency programs for the better part of the decade. One partner, National Grid, has played an integral role, contributing more than 1 TWh of electricity savings and 45 million therms of gas savings.
National Grid's program started as a small implementation of Opower Home Energy Reports (HERs) in New York, and is today a multi-state engagement that touches 2.6 million customers in New York, Massachusetts and Rhode Island. In 2017 alone, National Grid customers received over 24 million personalized reports and 143,000 high bill alerts. SOMERVILLE, N.Y., May 3, 2017 /PRNewswire/ -- United Renewable Energy LLC has completed construction of the first Community Solar Project interconnected to National Grid in New York state. The project is located in Northern New York, in the Hamlet of Somerville, on approximately three acres of underused pasture land. The solar photovoltaic modules peak output is 241 Kilowatts DC, yielding a peak of 165 kilowatts AC returned to the power grid.
The project is unique in that it is entirely supported by members within the nearby communities, including homeowners, low income homeowners, farms, and local businesses. The members of the solar farm receive a percentage of the solar plant's generation each month, which is credited to their bill exactly like the panels were installed on their own roofs. By centralizing the solar panels at one site, the plant was constructed at a much lower cost than otherwise possible, allowing members to save more money on their combined electricity and distribution costs than if they installed solar panels on their roofs.
National Grid provided close support to the development and interconnection of the site, including some extraordinary late December work to bring the plant to full production. "We appreciate the collaborative approach taken by National Grid in New York, specifically the Distributed Generation team, who supported us while taking our input to develop a repeatable Community Solar process, something brand new to the company" said William Silva, CEO of United Renewable Energy LLC. Dear Fellow Shareholders,
I am pleased to update you on the ongoing progress at our Company. Our industry is growing at an unprecedented pace, with environmental and regulatory concerns making Blue Sphere's assets and experience more relevant than ever. We reside in a unique niche of the clean energy market by focusing on de-risked, cash flow-generating assets that provide attractive returns on investment.
U.S. Assets
In the United States, we are nearing completion of our North Carolina and Rhode Island biogas projects. These two facilities will produce a combined 8.4 megawatts of power and have aggregate construction costs of nearly US$47 million. The energy produced by these facilities will be purchased under long term power purchase agreements (PPAs) by our utility partners, Duke Energy (NYSE: DUK) in North Carolina and National Grid (NYSE: NGG) in Rhode Island, both giants in the industry. We believe having PPAs in place allows the projects to have a "predictive" revenue source.
These projects are now over 90% complete, and we expect both facilities to come online this summer. The facilities are estimated to produce combined annual revenue of approximately US$14.5 million and EBITDA of US$8 million. Blue Sphere owns 25% of the 5.2 megawatt North Carolina project and 22.75% of the 3.2 megawatt Rhode Island project. Once online and at full operating capacity, the Blue Sphere cash flow participation from these projects will take the form of equity dividends, since we are minority partners in the projects.
In addition to any cash flow participation from these U.S. facilities, we expect to receive the remainder of the one-time milestone payments under our development contract totaling nearly US$2.5 million once the U.S. facilities come online. To date, the Company has received US$4.5 million in milestone payments. In addition, the projects in North Carolina and Rhode Island qualify for and have received incentive tax credits. Blue Sphere and its financial partners will receive the benefits of these incentives by either taking credits against project earnings or potentially selling the benefit to another user at a discount.
Italian Assets
As we have previously disclosed, in Italy, Blue Sphere is the 100% owner of four biogas facilities that are already operational and collectively producing approximately 4 megawatts of power. These assets also have long-term power purchase agreements (PPAs) with the state-owned electrical authority, Gestore del Servizi Energetici (GSE). We receive monthly cash flow from these facilities. These assets are expected to produce over US$9 million in sales and over US$4 million in EBITDA on an annual basis, which we will consolidate on our financial statements. As the acquisition costs of these projects are retired, the long-term value of our predictive revenue model will become more apparent.
The EBITDA from the Italian plants is guaranteed by Austep, S.p.A., our operating partner. Blue Sphere expects to receive the annual guaranteed EBITDA, and Austep, S.p.A. will receive any revenues in excess of the guaranteed EBITDA. Austep is a 20-year old engineering firm with deep experience in the alternative energy sector, having built over 350 such facilities.
Pipeline
Our success in developing two large-scale waste-to-energy plants in the United States as well as acquiring four biogas plants in Italy has opened the door to many opportunities. The Blue Sphere management team is proceeding in a disciplined manner and insisting on IRR's that are at least 15-25 percent or higher for development projects.
In Italy, we anticipate making acquisitions of additional operating facilities, each around 1 megawatt in size, under similar terms to the four we already own, including guaranteed EBITDA arrangements and outsourced plant management. We have signed letters of intent or term sheets for three facilities and are currently evaluating over 40 other opportunities in Italy. Although we cannot make any guarantees, we hope to will close on multiple Italian facilities in the coming year or two.
In the United States, we have a robust pipeline of over 10 megawatts emphasizing greenfield development. These developments are similar to our Rhode Island and North Carolina projects. We expect to have announcements regarding these developments in 2016.
In the Netherlands, our third focus market, we previously announced that we entered into a letter of intent to develop a US$24 million waste-to-energy facility in the Brabant province. Assuming we close the financing for this project, the development has an estimated construction time of 12 months and forecasted annual EBITDA of US$4 million once operational. We have been active in the Netherlands for two years and have several other project developments that we are advancing.
In addition to the above listed developments, our pipeline includes projects at earlier stages. Blue Sphere has two development projects in Israel and greenfield projects in the UK, collectively representing over US$400 million in potential development. We have no certainty that any of these projects will come to fruition and delays in our industry are all too common, but we are pleased with the opportunities before us and optimistic that we will have additional progress to share in the months ahead.
Balance Sheet
As the Company prepares for an up-listing to a primary stock exchange such as the NYSE MKT or NASDAQ, you can expect to see Blue Sphere improve on our internal controls and the timeliness and quality of our filings. In the interim, I thought it would be helpful to clarify certain items on our balance sheet as of March 31, 2016, the most recently reported and not yet reviewed.
Because we focus on acquiring and developing cash flow generating assets with long term PPAs (and EBITDA guarantees in the case of our Italian assets), we think it is appropriate to finance a portion of our assets with debt. Nearly all the debt on our balance sheet is project-level debt associated with specific assets. The only corporate level debt we have consists of approximately US$3.0 million in debentures, which mature in November 2017, and approximately US$500,000 in long-term notes due to managers.
Additionally, I want to point out that the current liability on our balance sheet of approximately US$9.3 million in deferred revenues from joint ventures will be eliminated when our Rhode Island and North Carolina projects reach development completion.
Concluding Thoughts
I am very proud of Blue Sphere's current portfolio of assets. With our market cap at its current level, and EBITDA and other income from our current assets expected to soon equal a US$6 million annualized run rate, we believe that the Company's common stock is deeply undervalued.
