The value of the transaction, based on Noble Energy's closing stock price as of January 13, 2017, is approximately $139 per Clayton Williams share. Shareholders will be subject to the future price fluctuation of Noble Energy's stock price.
The investigation concerns whether the Clayton Williams' board failed to satisfy their duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for Clayton Williams' shares of common stock. Clayton Williams has a change of control provisions for key executives. As of December 31, 2015, potential payments for termination associated with a change in control, was valued at over $14 million.
